Terms and Conditions

Please read these Terms and Conditions (Terms) carefully. By accessing or using this website (Site) and any related online programs, resources or services we provide (Services), you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

These Terms are between you and MetaPeople Pty Ltd (ACN 165 621 349, ABN 88 164 306 209) (MetaPeople, we, us, our).

We may revise these Terms from time to time. The version published on the Site at the time you use the Site/Services will apply.


1. General information only

The Site and Services provide general information, education and professional development content relating to leadership, management, coaching and organisational development. They do not constitute legal, financial, accounting, medical or other professional advice. You should obtain independent advice appropriate to your circumstances before acting on information provided through the Site or Services.


2. Accounts, access and security

Some Services may require an account (for example, access to online courses). You are responsible for maintaining the confidentiality of your login details and for all activity that occurs under your account. You must notify us promptly if you suspect unauthorised access or use of your account.

We may suspend or terminate access where we reasonably believe there has been unauthorised access, sharing of logins, or misuse of the Site/Services.


3. Acceptable use

You must not:

  • use the Site/Services for unlawful purposes;

  • interfere with the security, performance or operation of the Site/Services;

  • attempt to gain unauthorised access to any systems or data;

  • introduce malicious code (including viruses, worms, trojans or similar); or

  • copy, scrape, reproduce, resell or redistribute our content except as permitted under these Terms.


4. Intellectual property

All content on the Site and within the Services (including course materials, frameworks, templates, videos, text, graphics and branding) is owned by or licensed to MetaPeople and is protected by intellectual property laws.

We grant you a limited, non-transferable, non-exclusive licence to access and use the content for your personal use (or your internal business use where you have purchased Services as an organisation), provided you do not reproduce, distribute, publish, commercially exploit, or create derivative works from our content without our prior written consent.

No licence is granted to you to use any MetaPeople trademarks.


5. Online programs and course access

Where you purchase or are granted access to an online program:

  • access is provided only to the individual(s) and/or organisation specified at enrolment/purchase;

  • login credentials must not be shared outside that scope; and

  • access period (if any) is as stated on the relevant sales page, proposal, enrolment confirmation or invoice.

We may update program content from time to time to maintain quality and relevance.


6. Fees, payment, cancellations and refunds

Fees and payment terms for Services (including coaching, workshops and online programs) are as set out in the applicable proposal, booking confirmation, online checkout or invoice. Unless agreed otherwise in writing, the following applies.

6.1 Coaching sessions (1:1)

  • Coaching sessions may be rescheduled with at least 48 hours’ notice.

  • If you cancel within 48 hours or do not attend a scheduled session (no-show), the session will be treated as delivered and charged in full.

  • Where sessions are purchased as a package, a late cancellation/no-show will be deducted from the package balance.

6.2 Hard Costs (definition)

Hard Costs means 100% of the reasonable out-of-pocket expenses MetaPeople has incurred specifically to deliver the Services and that are non-refundable, non-cancellable, or not recoverable (in whole or in part) from the third-party supplier. Hard Costs may include (without limitation):

  • venue hire / room booking fees and deposits;

  • catering deposits or cancellation fees;

  • travel costs (airfares, trains, taxis/rideshare, mileage) where booked;

  • accommodation costs where booked;

  • courier/printing costs ordered specifically for the workshop;

  • subcontractor/third-party facilitator fees where contracted and not recoverable; and

  • third-party platform or equipment hire booked specifically for the engagement.

Hard Costs exclude MetaPeople’s internal overheads and general business costs, and exclude any amounts that can be reasonably avoided or refunded. We will provide copies of invoices/receipts or other reasonable evidence of Hard Costs on request.

6.3 Workshops / facilitation (corporate engagements)

If the Client cancels a confirmed workshop or requests to reschedule a confirmed workshop date, the following cancellation fees apply (calculated on the workshop fee, excluding Hard Costs), plus 100% of Hard Costs:

  • 30 days or more prior to the scheduled date: no cancellation fee, plus 100% of Hard Costs.

  • 15–29 days prior to the scheduled date: 50% of the workshop fee, plus 100% of Hard Costs.

  • 0–14 days prior to the scheduled date: 100% of the workshop fee, plus 100% of Hard Costs.

Where the Client requests a reschedule rather than a cancellation, we will use reasonable efforts to accommodate a new date (subject to availability). 100% of Hard Costs already incurred remain payable, and additional Hard Costs may apply for the rescheduled date.

For clarity, “days” means calendar days, and the notice period is measured from the date MetaPeople receives the Client’s written notice.

6.4 Online programs (including cohort programs)

  • You may cancel an enrolment with at least 30 days’ written notice prior to the program start date to avoid charges (or to end billing where a payment plan applies).

  • Once a program has commenced, fees remain payable in full. If you withdraw after commencement, you will still be charged (or remain liable for remaining instalments).

  • Access is provided to the enrolled participant(s) only and must not be shared.


7. Third-party services and links

The Site and Services may include links to, or integrations with, third-party platforms and services. We do not control those third-party services and are not responsible for their content, availability, security, or privacy practices. Your use of third-party services may be governed by their own terms and policies.


8. Privacy

Your use of the Site/Services is also subject to our Privacy Policy, available on the Site.


9. Disclaimers

To the maximum extent permitted by law, the Site and Services are provided on an “as is” and “as available” basis. We do not guarantee that the Site/Services will be uninterrupted, error-free, or free from viruses or other harmful components. You are responsible for taking your own precautions to protect your devices and data.


10. Limitation of liability (Australian Consumer Law)

Nothing in these Terms excludes, restricts or modifies any rights or remedies you may have under the Australian Consumer Law or other applicable laws which cannot be excluded.

To the maximum extent permitted by law, MetaPeople’s liability for any loss or damage arising from or in connection with the Site/Services is limited (at our option) to:

  • supplying the Services again; or

  • paying the cost of having the Services supplied again.

To the maximum extent permitted by law, we are not liable for any indirect or consequential loss (including loss of profit, revenue, business, goodwill or data).


11. Indemnity (misuse)

You agree to indemnify us for losses, claims, damages and expenses arising from your unlawful use of the Site/Services or your breach of these Terms.


12. Suspension and termination

We may modify, suspend or discontinue any part of the Site/Services at any time. We may suspend or terminate your access if you breach these Terms or misuse the Site/Services.


13. Governing law

These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia sitting in New South Wales.
